1. Agreement to Terms

By accessing and using the MATRX Connect, you agree to be bound by these Terms of Service. MATRX Collective, LLC reserves the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will make reasonable efforts to notify you of material changes via email or a notice on the Portal.

2. Communication Consent

By creating a profile on this Portal, you expressly consent to be contacted by MATRX Collective regarding job opportunities, industry updates, webinars, and related services through:

• Email communications to the address you provide
• Phone calls or text messages to the phone number you provide
• Other contact methods you may provide in your profile

You may withdraw this consent at any time by deleting your profile through the Portal dashboard or by emailing us at [email protected].

3. Eligibility

You must be at least 18 years of age and legally authorized to work in the United States to use this Service. By creating an account, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate, current, and complete.

4. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. Profile Information and Accuracy

You are solely responsible for the accuracy and completeness of the information in your profile. You agree to provide truthful information about your experience, qualifications, certifications, brands currently carried, territory, and employment history. Misrepresentation of your credentials or experience may result in immediate termination of your account and may affect your eligibility for future opportunities.

6. Acceptable Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable federal, state, or local laws
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Engage in any conduct that restricts or inhibits anyone’s use of the Service
• Use any automated system to access the Service without our express written permission
• Attempt to gain unauthorized access to any portion of the Service
• Upload or transmit viruses, malware, or any other malicious code
• Collect or harvest any information about other users without their consent

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by MATRX Collective, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content from the Service without our express written permission.

8. User Content and License

By submitting content to the Service (including your profile information, resume, signed NDA, and other materials), you grant MATRX Collective, LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and share such content for the purpose of matching you with employment opportunities and operating the Service. You retain ownership of your content and may request its removal at any time by deleting your account.

9. No Employment Guarantee

CREATING A PROFILE DOES NOT GUARANTEE EMPLOYMENT, JOB PLACEMENT, OR INTERVIEWS. The Portal is a recruitment tool that connects sales professionals, consultants, and educators with potential opportunities. MATRX Collective, LLC makes no representations or warranties regarding:

• The availability of job opportunities
• Your suitability for any particular position
• The likelihood of receiving job offers or interview requests
• The terms, conditions, compensation, or benefits of any potential engagement
• The success or duration of any employment or contractor relationship

The relationship between you and any employer or client is independent of MATRX Collective, LLC. We are not responsible for any employment or engagement decisions made by third parties.

10. Independent Contractor Classification

By submitting a profile on this platform, you acknowledge and agree to the following:

• You are being considered for independent contractor (1099) and/or W2 employment opportunities, as indicated in your profile preferences.
• Registration on this platform does not create an employment relationship, partnership, joint venture, or agency relationship between you and MATRX Collective, LLC.
• Any independent contractor engagement arising from connections made through this platform will be governed by a separate independent contractor agreement.
• As an independent contractor, you are responsible for your own taxes, insurance, equipment, and business expenses unless otherwise specified in a separate written agreement.

11. Third-Party Relationships

Any employment relationship, contract, or agreement you enter into with a third party through the Service is solely between you and that third party. MATRX Collective, LLC is not a party to such agreements and assumes no responsibility or liability for any disputes, claims, or damages arising from such relationships.

12. Business Transfer and Acquisition

MATRX Collective, LLC reserves the right to sell, transfer, or assign this platform and all associated data as part of a merger, acquisition, asset sale, or other business transaction. In the event of such a transaction:

• Your profile data, documents, signed agreements, and account information may be transferred to the acquiring entity as part of the transaction.
• The acquiring entity will be bound by the terms of this Agreement with respect to your personal information.
• You will be notified via email at least 30 days prior to any such transfer.
• Following notice, you will have the opportunity to delete your profile and data before the transfer takes effect if you do not consent to the new ownership.

By creating a profile on this platform, you expressly acknowledge and consent to the potential transfer of your data as described above.

13. Profile Deletion and Data Rights

You have the right to delete your profile at any time. You may delete your profile through the “Delete Profile” option on your dashboard or by emailing us at [email protected]. Upon deletion:

• Your profile will be immediately removed from active recruitment consideration.
• Your personal information will be deleted from our systems within 30 days.
• We may retain certain information as required by law or for legitimate business purposes (e.g., records of past placements, signed agreements).

14. California Privacy Rights (CCPA)

If you are a California resident, you have the right to request access to, deletion of, or correction of your personal information. We do not sell personal information. To exercise these rights, contact us at [email protected].

15. Data Retention

We retain your profile data for as long as your account is active. If you delete your profile, we will remove your personal information from active systems within 30 days. Certain records may be retained longer as required by law or to resolve disputes.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRX COLLECTIVE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES resulting from your use of the Service. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF MATRX COLLECTIVE, LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT OF ONE HUNDRED DOLLARS ($100.00). In no event shall MATRX Collective, LLC’s total liability to you for all damages, losses, and causes of action exceed one hundred dollars ($100.00).

18. Indemnification

You agree to indemnify and hold harmless MATRX Collective, LLC from any claims, damages, or expenses (including attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

19. Termination by MATRX

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

20. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Orange County, California, in accordance with the rules of the American Arbitration Association.

21. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any signed NDA, constitute the entire agreement between you and MATRX Collective, LLC regarding the use of the Service.
