Agreement to Terms

By accessing and using the MATRX Connect Portal (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. MATRX Connect Portal ("we," "our," or "us") reserves the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Communication Consent

By creating a profile on this Portal, you expressly consent to be contacted by MATRX Collective regarding job opportunities, industry updates, and related services through:

• Email communications to the address you provide
• Phone calls or text messages to the phone number you provide
• Other contact methods you may provide in your profile

You may withdraw this consent at any time by deleting your profile through the Portal dashboard or by emailing us at [email protected].

Eligibility

You must be at least 18 years of age and legally authorized to work in the United States to use this Service. By creating an account, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate, current, and complete.

Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Profile Information and Accuracy

You are solely responsible for the accuracy and completeness of the information in your sales representative profile. You agree to provide truthful information about your experience, qualifications, certifications, and employment history. Misrepresentation of your credentials or experience may result in immediate termination of your account and may affect your eligibility for future opportunities.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable federal, state, or local laws
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Engage in any conduct that restricts or inhibits anyone's use of the Service
• Use any automated system to access the Service without our express written permission
• Attempt to gain unauthorized access to any portion of the Service
• Upload or transmit viruses, malware, or any other malicious code
• Collect or harvest any information about other users without their consent

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by MATRX Connect Portal and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content from the Service without our express written permission.

User Content and License

By submitting content to the Service (including your profile information, resume, and other materials), you grant MATRX Connect Portal a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and share such content for the purpose of matching you with employment opportunities and operating the Service. You retain ownership of your content and may request its removal at any time by deleting your account.

No Employment Guarantee

CREATING A PROFILE DOES NOT GUARANTEE EMPLOYMENT, JOB PLACEMENT, OR INTERVIEWS. The Portal is a recruitment tool that connects sales professionals with potential opportunities. MATRX Connect Portal makes no representations or warranties regarding:

• The availability of job opportunities
• Your suitability for any particular position
• The likelihood of receiving job offers or interview requests
• The terms, conditions, compensation, or benefits of any potential employment
• The success or duration of any employment relationship

The relationship between you and any employer is independent of MATRX Connect Portal. We are not responsible for any employment decisions made by third-party employers.

Third-Party Relationships

Any employment relationship, contract, or agreement you enter into with a third party through the Service is solely between you and that third party. MATRX Connect Portal is not a party to such agreements and assumes no responsibility or liability for any disputes, claims, or damages arising from such relationships.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRX COLLECTIVE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify, defend, and hold harmless MATRX Connect Portal and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

Profile Deletion and Data Rights

You have the right to delete your profile at any time. You may delete your profile through:

• The "Delete Profile" button on your dashboard
• Emailing us at [email protected]

Upon deletion:

• Your profile will be immediately removed from active recruitment consideration
• Your personal information will be deleted from our systems within 30 days
• You will no longer receive communications from MATRX regarding job opportunities
• We may retain certain information as required by law or for legitimate business purposes (e.g., records of past placements, transaction history)

Termination by MATRX

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us or using the account deletion feature.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MATRX Connect Portal regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
